Abstract
This article describes the governing bodies of joint-stock companies, in particular the executive body of a joint-stock company, its content, role in corporate governance, executive body (director), collegial executive body (management, directorate), the procedure for their formation, conclusion of contracts with commercial organizations performing the functions of an executive body, the powers of the executive body, their accountability to the general meeting of shareholders and the supervisory board, their duties, scope of responsibility, analysis of recent changes in corporate governance legislation, corporate governance theory, including the executive body and comparative legal analysis of the legislation of developed countries, identification of existing trends and identification of gaps and contradictions in the legislation, as well as making proposals to eliminate and correct the shortcomings of this legislation.
